Terms of Service

These Terms of Service (“Terms”) govern your use of the nearbyfulfillment.com website (the “Site”) and any warehousing, order fulfillment, Amazon FBA prep, returns processing, or related logistics services (the “Services”) provided by Nearby Fulfillment (“Nearby Fulfillment,” “we,” “us,” or “our”), based in Garden City, Michigan. By using the Site, submitting a quote request, or engaging us for Services, you (“Client,” “you”) agree to these Terms.

If these Terms conflict with a separate signed service agreement between you and Nearby Fulfillment, the signed agreement will control.

1. Description of Services

Nearby Fulfillment provides third-party logistics services, which may include receiving and storing inventory, pick-and-pack order fulfillment, Amazon FBA prep and labeling, kitting/bundling, returns processing, and related services as described on our Services and Pricing pages. Specific services, rates, and volume tiers are set out on our Pricing page or in a quote or invoice provided to you, and may be updated from time to time.

2. Quotes, Pricing & Fees

Pricing is based on the tiers and rates published on our Pricing page at the time services are rendered, unless a custom quote has been agreed in writing. Fees may include per-order rates, monthly account handling fees, a one-time initiation fee, and add-on charges (for example, bundling, custom packaging, pallet storage, or returns processing) as described on the Pricing page. We reserve the right to update our pricing; changes will not apply to orders already invoiced, but will apply going forward with reasonable notice.

3. Payment Terms

Invoices are due upon receipt unless otherwise agreed in writing. We reserve the right to charge interest on overdue balances, suspend processing of new orders, or place a lien on Client inventory in our possession until outstanding fees are paid in full, to the extent permitted by law.

4. Client Responsibilities

You are responsible for:

  • Providing accurate, complete, and current information about your inventory, orders, and business
  • Ensuring products shipped to us are properly labeled, packaged, and comply with all applicable laws and marketplace (e.g. Amazon) requirements
  • Disclosing in advance any hazardous, perishable, regulated, or high-value items before shipping them to our facility
  • Maintaining accurate SKU and order information to avoid fulfillment errors
  • Timely payment of all fees owed under these Terms

We reserve the right to refuse, return, or dispose of inventory that is undisclosed hazardous material, illegal, or otherwise unsuitable for storage at our facility, at the Client’s expense.

5. Inventory Ownership & Risk of Loss

Client retains ownership of all inventory at all times. Nearby Fulfillment acts solely as a warehousing and fulfillment provider and does not take title to Client inventory. Client is strongly encouraged to maintain its own insurance covering the full value of inventory stored with or shipped by us. Our liability for any loss or damage to inventory while in our care is limited as described in Section 7 below.

6. Storage & Abandoned Inventory

Storage fees accrue as described on our Pricing page. If an account becomes significantly overdue, or if a Client relationship is terminated and Client fails to arrange return or disposal of remaining inventory within thirty (30) days of written notice, we may treat the inventory as abandoned and, to the extent permitted by law, dispose of, donate, or liquidate it to offset unpaid fees, after providing reasonable written notice to the Client’s last known contact information.

7. Limitation of Liability

To the fullest extent permitted by law, Nearby Fulfillment’s total liability for any claim arising out of or relating to the Services—whether for lost or damaged inventory, delayed shipments, fulfillment errors, or otherwise—is limited to the lesser of (a) the fees paid by Client for the specific order or service giving rise to the claim, or (b) an amount to be mutually agreed in a signed service agreement or insurance rider. In no event will Nearby Fulfillment be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost sales, even if advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be limited under applicable law.

8. Claims Process

Any claim for lost, damaged, or mis-shipped inventory must be submitted in writing to info@nearbyfulfillment.com within seven (7) days of discovery, with supporting documentation (such as order numbers, photos, and inventory records). Claims submitted after this period may be denied.

9. Term & Termination

Either party may terminate the Services with written notice as agreed at onboarding, or with thirty (30) days’ written notice if no other term is specified. We may suspend or terminate Services immediately for non-payment, violation of these Terms, or shipment of prohibited/undisclosed hazardous materials. Upon termination, Client remains responsible for all fees incurred through the termination date and for arranging removal of remaining inventory as described in Section 6.

10. Force Majeure

Neither party will be liable for delays or failure to perform caused by events beyond its reasonable control, including natural disasters, extreme weather, labor disputes, carrier delays, government action, or other similar events.

11. Intellectual Property

All content on the Site, including text, graphics, logos, and design, is owned by Nearby Fulfillment or its licensors and may not be copied or used without permission.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be subject to the exclusive jurisdiction of the state or federal courts located in Michigan, unless otherwise required by law.

13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date and will apply to Services rendered after that date. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
